About Wrongtools A/S

Wrongtools A/S sells downloadable products in the form of digital audio recordings, music production software and other related materials, for use by, but not limited to, musicians, music producers, composers, film editors and web designers.

1 Terms

These terms of Service apply when you (“Licensee”) use the services provided on the online platform (“the Service”) which have been made available by Wrongtools A/S (“Wrongtools”), a company registered under Foretaksregisteret : NO 826 350 482 MVA. Wrongtools A/S, Postkasse 61,Tr.heimsvn. 197A, 0570 Oslo, Norway

We advise you to read this entire agreement. By accepting this agreement or by using Wrongtools A/S Service, you agree to all of these terms. If you do not accept and comply with these terms, you may not use the Wrongtools A/S sounds, libraries, code, attachments or its features.

Products sold commercially or provided for free at  will be referred to as “Service”.  “The Service” includes any purchase, download, view or use of music software and products made available to you on the platform.

1.1 Validity.

Wrongtools A/S may modify these Terms of Service at any time. We will notify you of significant changes by posting the revised version on our website and/or by sending an email to the address associated with your account if the changes are significant. The revised terms will be effective upon posting.

2 Wrongtools Account

You do not have to be registered with Wrongtools A/S to view the website, but to purchase products you must provide certain information, including a user name, password and valid email address. Once these are provided they will be kept on file by Wrongtools A/S. This information will be used by Wrongtools A/S as outlined in the ‘Privacy Policy.’ 

You agree to keep your password confidential and secure and to not allow anyone else to use your login data to access the Site or any Content.  You will be responsible to Wrongtools A/S for the activity that occurs under your registration account.  Please let us know immediately if you suspect that someone else has obtained your login credentials.

Within  the account area of wrongtools.com, the Licensee gets an overview of order history, receipts, licenses and access to exclusive content. The account is personal and cannot be transferred to another person or entity. 

3. Payment and Downloading Products

Payment is taken on behalf of Wrongtools by PayPal, VISA or other payment methods offered.   After payment you will be taken to a page where you can download your product(s). If your download fails you may reattempt to download from the same link.  The download link does not expire, but we have put a limit to the number of downloads on each purchase.  To reset the download count, simply get in touch with us

The Licensee also accepts that his/her contact information is collected and stored by Wrongtools, at all times subject to Wrongtools’s Privacy Policy.

4. Delivery

Products purchased from Wrongtools are delivered digitally to the e-mail address provided by the Licensee at the time of purchase. If the Licensee has a Wrongtools Account, the product will also be available from there, after a completed purchase procedure. Delivery will be made immediately as the payment has been electronically processed. 

5. Payments and final orders

Payments are processed via our third-party payment processors, which may include PayPal, Stripe (for VISA/Mastercard), and others as indicated at checkout. All orders have to be prepaid.  

The costs the service is calculated in EUR on the check-out page and is inclusive of applicable taxes. Parties hereto shall be liable for all taxes, assessments or duties, which may now or hereafter be imposed, but excluding taxes assessed on Parties’ profit. According to EU One-Stop Shop (OSS) regulations, customers within the EU will be charged VAT at the rate applicable in their country of residence, unless a valid VAT ID# is provided.

We are not liable for any charges imposed by your card issuer or bank due to the processing of your credit/debit card payment in accordance with your order. Furthermore, we are not obliged to notify you of the reasons for refusal. By utilizing your credit or debit card, you affirm that you are the cardholder and that there are sufficient funds or credit available to cover the charges. When placing an order, you confirm that you have the legal capacity to enter into binding
agreements and that you have consented to be bound by this Agreement.

5.1.  Refunds

If you wish to evaluate a sample-library before placing an order for purchase of a license, you’ll need to listen closely to the demos and walkthroughs. Rarely there will be a free demo.  

Due to the nature of downloadable products and online services, refunds are generally not available for Products that have been downloaded. However, we will consider refund requests in our sole discretion, and our decision will be final. This does not affect your statutory rights, including your right of withdrawal where applicable.

The right of withdrawal expires fourteen (14) days after the purchase was made.  Withdrawal will only be possible if the product has not been downloaded. 

6 Updates and upgrades 

Updates may be offered to you. Wrongtools A/S reserves the right to decide if those offers are time-limited or not, and to stop them anytime. 

6.1 Bundles

The purchase of a product bundle grants a license only to the specific libraries included in that bundle at the time of your purchase. It does not entitle the Licensee to receive future products that may be added to a similarly named bundle at a later date, nor does it include updates or upgrades to products not part of the original purchase.

7 Warranties

The Licensee recognises and accepts that their utilisation of the Service, along with any products or content acquired through it, is undertaken solely at their own risk. The Service is provided on an “as is” and “as available” basis, without any warranties of any kind, whether expressed or implied. These include, but are not limited to, implied warranties, terms and conditions of merchantability, satisfactory quality, fitness for a specific purpose, and non-infringement, to the extent permitted by applicable law.

8 Disclaimer and Waiver

To the fullest extent permitted by applicable law, Wrongtools A/S shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service or any products purchased. Nothing in these terms shall affect statutory rights that cannot be waived under applicable law.

Wrongtools A/S will be held harmless against any losses, judgements, claims, legal fees or court costs that may arise out of a breach of these terms and conditions. By entering this agreement you agree not to sue or recover any damages from Wrongtools A/S, and any affiliated companies or people, as a result of its decision to terminate or suspend this agreement. Using this product and any supplied software is at the licensee’s own risk. 

Wrongtools A/S holds no responsibility any direct or indirect consequential loss arising from the use of this product in whatever form. Wrongtools A/S will not be responsible if the sounds does not fit the particular purpose.

Whilst Wrongtools A/S will take reasonable and sufficient steps to ensure that the website is free from any viruses, trojans, malware, spyware, harmful software, data theft or any unauthorised malicious activity, Wrongtools A/S make no guarantees on this subject and will not be held liable for any loss resulting from this. 

To the fullest extent permitted by law, the total liability of Wrongtools A/S and its suppliers for any claim arising out of this agreement or the use of the Service will not exceed the amount you paid for the product(s) in question.

8.1 Severability
If any provision of these Terms of Service is found to be invalid or unenforceable under applicable law, that provision will be modified and interpreted to accomplish the objectives of the provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

9 Court of jurisdiction and applicable laws

This license agreement is governed by Norwegian law.  Regardless of which country an order is placed from, the law of Norway shall apply to all use of the Service, including any and all purchases made from Wrongtools on the platform. Any dispute arising from, or related to, a Product purchase shall be subject to the exclusive jurisdiction of the District Court of Oslo, Norway.

10 Transfer of rights and obligations

Wrongtools A/S may assign, transfer, sell or otherwise dispose its rights and obligations under these Terms of Service, in whole or part, at any time without notice to the Licensee. The Licensee may not assign any right, title or interest, in whole or in part, to any Product or Service purchased or otherwise obtained under this Agreement.

End User License Agreement [EULA]

This End User License Agreement is applicable to all products (obtained or purchased) provided by Wrongtools A/S, (“Wrongtools”), a company registered under Foretaksregisteret : NO 826 350 482 MVA. Wrongtools A/S, Postkasse 61,Tr.heimsvn. 197A, 0570 Oslo, Norway.  

Such products being “software”, which includes the embedded digital audio recordings, samples, and sound libraries, and thereto related explanatory materials (collectively, the “Software”). The term “Software” shall also include any upgrades, modified versions or updates of the Software licensed to you by Wrongtools. When obtaining a product from Wrongtools, these terms and conditions apply for the product and license to use the Software. You are therefore advised to read this agreement carefully.

1. Processing of orders, payment and delivery

All terms related to the processing of orders, payment, delivery, and account management are governed by the Wrongtools A/S Terms of Service, which you agreed to at the time of purchase. This EULA governs your rights to use the Software after it has been delivered.

2. License

Subject to the terms and conditions set out in this End User License Agreement (the “Agreement”) Wrongtools grants to you (the “Licensee”) a nonexclusive, non-transferrable, non-sub-licensable license to use the sounds and files strictly limited to what is set out in this Agreement.

By making payment for a product you (and only you) are granted a non-exclusive and non-transferrable license to download the products you purchase from Wrongtools A/S. 

You may incorporate them in a music production, film, tv program, website or other media production, without paying any additional royalties, license fees, or any other fees to Wrongtools A/S or any third parties. 

Upon your acceptance of this Agreement and receipt of full payment, Wrongtools A/S grants you (the “Licensee”) a non-exclusive, non-transferable, worldwide, royalty-free license to use the Software. This license is granted to a single user only. You may install and use the Software on up to five (5) computers, provided they are owned and used exclusively by you.

The Licensee is responsible for taking all reasonable measures to secure the purchased Software and prevent its unauthorized copying, distribution, or access by third parties.

3 License Restrictions

Copying, re-selling, leasing, duplicating or distribution in any form of the products for sale, other than outlined in this Terms and conditions, is strictly prohibited. This extends, but is not limited, to file sharing websites, web forums, computer networks and file hosting websites. Products cannot be distributed in their original format or sold in a manner that would be considered competitive with the nature of Wrongtools A/S’ business. 

The usage of content from our products for the creation of a sound library or as a sound library for any kind of synthesizer, virtual instrument, sample library, sample-based product or other musical instrument is strictly prohibited.

All content of this website, including text, our self-composed demo-songs, graphics, logos, icons, images, audio, video, our code, animations, data compilations, and software is the property of Wrongtools A/S or presented under license from another entity, and is protected by all applicable copyright laws.

4 NFR Serials

Wrongtools libraries or patches labeled as “NFR” (Not For Resale) shall only be used for demonstration, testing and evaluation purposes. – These files are typically intended for journalists that wish to review the instruments.  A License marked as NFR is equal to the respective Personal or Site License, with the only exception that the NFR License may not be transferred to a third party.

NFR  may not be used for commercial purposes, and may not be resold or transferred. This includes, but is not limited to, using the NFR in any production or media that generates revenue, is intended for sale, or is used for promotional purposes for a business entity

5 Intellectual Property and Ownership

All rights, title, and interest in and to the Software, including the digitally recorded sounds, structure, organisation, and code, are the proprietary property and valuable trade secrets of Wrongtools A/S and its suppliers. Wrongtools A/S retains full ownership of the Software, and any copies thereof.

By purchasing the Software, you acquire a limited, non-transferable license to use the Software in accordance with the terms of this Agreement, but you do not acquire ownership of the Software itself. The Licensee shall not, and shall not permit any third party to, rent, lease, sell, sublicense, distribute, transfer, copy, reproduce, display, modify, decompile, disassemble, or reverse engineer the Software or any part thereof.

 

5.1 Copyright and Intellectual Property

All rights, title and interests to the Software are proprietary to Wrongtools A/S and its suppliers. Further, the structure, organisation and code pertaining to the Software are the valuable trade secrets of Wrongtools A/S and its suppliers.

All content, software, sounds and libraries provided by Wrongtools remain the intellectual property of Wrongtools A/S. By purchasing or downloading a product, you are granted a non-exclusive, non-transferable license to use the product for your own personal or commercial music production, subject to these terms.

5.2 Prohibition on Use for AI Model Training

The Licensee is expressly prohibited from using any part of the Software, including but not limited to any audio recordings, samples, data, or musical compositions, for the purposes of training, developing, or enhancing any artificial intelligence, machine learning, deep learning, or other algorithmic models. This prohibition includes, without limitation, using the Software as a dataset, for ingestion into a model, for model validation, or for any form of generative AI development or research. Any such use is a material breach of this Agreement.

 

5.3. Use of trademark

Licensee shall use Wrongtools A/S’s trademarks and product names only to identify output produced by Wrongtools instruments, in accordance with accepted trademark practice, including identification of trademark owner’s name. Such use of a trademark does not give Licensee any rights of ownership in that trademark.

The Licensee may use Wrongtools A/S’s trademarks and product names only to accurately identify output produced by the Software, in accordance with accepted trademark practice. Such use does not grant the Licensee any rights of ownership in the trademark. All other product and company names are trademarks™ or registered® trademarks of their respective holders, and their use does not imply any affiliation with or endorsement by them.

7 No warranty

The Software is provided to you “AS IS”. Wrongtools A/S makes no warranty of any kind, express or implied, other than as set out in the Software’s official specifications. Wrongtools A/S does not and cannot warrant the performance or results you may obtain by using the Software. Specifically, Wrongtools A/S does not warrant that the Software will be compatible with future versions of third-party software or platforms, including but not limited to host applications (DAWs), operating systems, or the Native Instruments Kontakt platform.

To the fullest extent permitted by law, Wrongtools A/S and its suppliers disclaim all other warranties, whether expressed or implied, including warranties of non-infringement of third-party rights, merchantability, or fitness for any particular purpose.

In no event will Wrongtools A/S or its suppliers be liable to you for any consequential, incidental, or special damages, including any lost profits or lost savings, even if a Wrongtools A/S representative has been advised of the possibility of such damages, or for any claim by any third party.

8 Term, Termination and Jurisdiction

This Agreement shall be governed exclusively by the laws of Norway.

The license granted to Licensee shall be null and void upon failure by Licensee to comply with any terms of this Agreement, and any continued use of the Software without a valid license shall be understood as an infringement in Wrongtools A/S’s copyright to the Software.
